1. Agreement and Scope
These Terms of Use ("Terms") govern access to and use of LocalSpotter, LocalSpotter.com, and related websites, applications, accounts, business pages, deal pages, content, communications, and services operated by Local Spotter LLC (collectively, the "Service").
By accessing or using the Service, you agree to these Terms to the extent permitted by law. LocalSpotter requires affirmative acceptance through a checkbox, button, or comparable electronic process for account creation, content submission, business claims, Pilots, paid offers, purchases, and other interactive features. If you do not agree, do not create an account or use a feature that requires acceptance.
Some features are subject to additional terms. The Business Account, Claim, and Listing Terms apply to business claims, Business Tools, Previews, Pilots, and Business Content. An invitation, Pilot offer, order, enrollment screen, proposal, or confirmation (an "Offer Summary") states the specific commercial and operational details of the applicable offer. An Offer Summary controls only the price, term, features, billing, renewal, cancellation, and other details it expressly states and does not override another legal provision unless it expressly identifies that provision.
If documents directly conflict concerning the same subject, the following order applies: (1) the applicable Offer Summary for those expressly stated details; (2) separately accepted paid-service terms, if any; (3) the Business Account, Claim, and Listing Terms; and (4) these Terms. The Privacy Policy describes how LocalSpotter handles personal information and does not authorize payment.
2. Eligibility, Accounts, and Security
Public informational portions of the Service may be viewed without an account. You must be at least 18 years old and legally capable of entering into a contract to create an account, submit content, claim or manage a business page, accept a Pilot or paid offer, make a purchase, or use another interactive feature.
You must provide accurate account information, keep it reasonably current, protect your credentials, and promptly notify LocalSpotter of suspected unauthorized access. You are responsible for activity through your account to the extent caused by you or by a person to whom you gave access. LocalSpotter may require verification, credential resets, or other reasonable security measures.
3. Local Information, Deals, and Transactions
The Service helps users discover businesses, deals, specials, events, and other local information. Information may be incomplete, outdated, inaccurate, automatically generated, submitted by users or businesses, sponsored, or obtained from public or third-party sources.
Before relying on information or visiting or purchasing from a business, independently verify material details, including price, availability, hours, location, eligibility, restrictions, expiration, taxes, fees, reservations, and redemption requirements.
Unless separate transaction terms expressly say otherwise, LocalSpotter is not the seller, merchant, provider, agent, or guarantor of a business's goods, services, offers, refunds, safety, quality, legality, availability, or fulfillment. Transactions are between you and the applicable business.
4. Public-Source Business Information and Corrections
LocalSpotter may create or maintain business listings using factual information obtained from public websites, public records, business representatives, users, service providers, and other lawful sources. This may include business names, addresses, telephone numbers, ordinary hours, categories, website links, general services, and publicly announced deals or specials.
LocalSpotter may summarize, categorize, link, correct, update, annotate, rank, hide, remove, or decline to display business information. A listing or source link does not mean that the business sponsors, endorses, approves, or is affiliated with LocalSpotter unless expressly stated.
Businesses and users may request correction or removal review through an available reporting tool or by contacting [email protected]. LocalSpotter may request information reasonably necessary to evaluate the request and may retain nonpublic source, security, dispute, and audit records.
5. User Content and License
"User Content" means reviews, posts, comments, photographs, corrections, feedback, or other material that you upload, submit, transmit, create, or specifically direct LocalSpotter to publish. Business-submitted information and material are also governed by the Business Account, Claim, and Listing Terms.
You retain any ownership rights you have in User Content. You grant Local Spotter LLC a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, store, reproduce, format, resize, modify, translate, create derivative works from, technically adapt, display, distribute, moderate, and promote User Content as reasonably necessary to operate, secure, improve, support, and market the Service and the page or feature for which it was submitted.
The license continues while User Content is submitted to or publicly used through the Service. After removal, LocalSpotter may retain copies in backups, archives, security records, legal records, and dispute evidence, and may retain content already distributed at your direction. Unless LocalSpotter has an independent right to use the material, LocalSpotter will not make new public uses after commercially reasonable processing of a valid removal request.
You represent that you have the rights and permissions needed to submit User Content and grant this license. You are responsible for User Content and for ensuring that it complies with these Terms and applicable law.
6. Content and Review Rules
You may not submit content that is unlawful, abusive, sexually explicit or exploitative, infringing, defamatory, threatening, harassing, discriminatory, fraudulent, deceptive, or otherwise unauthorized, or that violates another person's privacy or exposes confidential or sensitive information.
You may not fabricate, purchase, sell, automate, manipulate, or submit fake reviews or engagement; review a business without genuine first-hand experience; impersonate another person or business; review your own business or a competitor through an undisclosed conflict; condition an incentive on a particular rating or sentiment; use review gating; retaliate against a person for an honest review; or use the Service for spam or fraud.
LocalSpotter may, but is not obligated to, format, categorize, redact sensitive information from, reject, hide, remove, restore, or decline to publish content. LocalSpotter will not ordinarily make a substantive edit that materially changes the meaning or sentiment of a user review.
7. Business Pages, Pilots, and Paid Features
LocalSpotter may maintain a business page even if the business has not claimed it. Claiming a business page grants administrative access subject to verification; it does not transfer ownership of the page or give the business control over public-source information, User Content, reviews, third-party content, rankings, analytics, or LocalSpotter Content.
Business claims, private sales Previews, claim invitations, Business Tools, Pilots, publication, and Business Content are governed by the Business Account, Claim, and Listing Terms.
A Pilot may be free or paid. The applicable Offer Summary will state the Pilot duration, included features, price or no-charge status, payment timing, and what happens when the Pilot ends. Unless the Offer Summary clearly states otherwise and an authorized person affirmatively accepts the stated conversion or renewal terms, a Pilot ends without automatic conversion, renewal, or further charge.
If an Offer Summary provides for conversion to an introductory, discounted, or regular paid plan, it must state the conversion date, each applicable price and pricing period, billing interval, renewal terms, and cancellation method before acceptance. A free Pilot will not become paid unless, before any charge, an authorized person affirmatively accepts the paid price, billing interval, renewal terms, and cancellation method, whether in the original Offer Summary or a later enrollment flow. A paid Pilot may convert or renew only as clearly disclosed and accepted in its Offer Summary. A future price change to an existing recurring paid service may apply prospectively after legally sufficient advance notice and an opportunity to cancel before the changed price is charged.
If payment affects placement, ranking, ordering, visibility, format, or prominence, LocalSpotter will use a reasonably clear label such as "Sponsored," "Paid placement," or "Ad." Sponsored placement does not purchase, suppress, or guarantee organic reviews, ratings, or unpaid ranking.
8. Prohibited Technical Uses
You may not interfere with the Service or its security; attempt unauthorized access; misuse invitation or Preview links; bypass access controls or rate limits; introduce malicious code; reverse engineer nonpublic systems except where applicable law prohibits this restriction; or use automated tools to scrape, crawl, harvest, copy, or monitor the Service except as LocalSpotter expressly permits.
9. LocalSpotter Intellectual Property and Feedback
"LocalSpotter Content" means content and materials created or owned by LocalSpotter, excluding User Content and third-party material. LocalSpotter and its licensors own or control the Service, including its software, code, design, layout, selection, arrangement, compilations, database structure, categories, rankings, scoring, metadata, analytics, moderation systems, business logic, branding, and LocalSpotter Content.
Subject to these Terms, LocalSpotter grants you a limited, personal, non-exclusive, non-transferable, revocable right to access and use the Service for its intended lawful purpose. No other rights are granted.
If you submit ideas, suggestions, corrections, or feature requests, you grant LocalSpotter a perpetual, irrevocable, worldwide, royalty-free, transferable, and sublicensable license to use and develop them without attribution or compensation. Do not submit another person's confidential information as feedback.
10. Third-Party Services and Availability
The Service may link to or interact with third-party businesses, websites, maps, menus, reservation services, delivery platforms, payment pages, social-media pages, app stores, or other resources. LocalSpotter does not control and is not responsible for third-party content, products, services, availability, safety, legality, or policies.
The Service may be changed, delayed, limited, suspended, replaced, or discontinued because of maintenance, providers, security events, outages, legal concerns, product changes, business decisions, or other reasons. LocalSpotter does not guarantee uninterrupted availability or preservation of content or data.
11. Privacy, Communications, and Electronic Records
The Privacy Policy explains how LocalSpotter collects, uses, shares, protects, and retains information.
LocalSpotter may send operational communications reasonably necessary to administer accounts, security, claims, Pilots, publications, support requests, transactions, and legal notices. Marketing communications, if sent, will include legally required disclosures and opt-out choices.
When you use an account or another feature requiring acceptance, you consent to receive agreements, disclosures, notices, confirmations, and other records electronically. You may retain electronic copies. An electronic acceptance or signature is intended to have the same effect as a handwritten signature to the extent permitted by law.
12. Copyright and Other Rights Complaints
Copyright, trademark, impersonation, privacy, and other rights complaints may be sent to [email protected] or through an available reporting tool. A complaint should identify the protected work or right, the material at issue, its location, your contact information, and the basis for the complaint.
LocalSpotter may remove or restrict access to material believed in good faith to violate another person's rights and may suspend or terminate repeat or serious infringers in appropriate circumstances. If LocalSpotter publishes a separate Copyright or DMCA Policy, that policy will govern notices submitted under it.
13. Suspension and Termination
You may stop using the Service at any time. LocalSpotter may restrict, suspend, disable, or terminate accounts, content, listings, claims, or features for suspected fraud, unauthorized access, security risk, legal requirements, rights violations, policy violations, nonpayment under accepted paid terms, discontinuation of a feature, or material risk to LocalSpotter, users, businesses, or third parties.
Where reasonably practicable, LocalSpotter may provide notice or an opportunity to correct or request review. LocalSpotter may act immediately when reasonably necessary to address urgent legal, security, fraud, abuse, or safety concerns.
Termination does not require deletion of public-source business information, material LocalSpotter has an independent right to retain, legal acceptance records, security records, dispute records, transaction records, or backups.
14. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOCALSPOTTER DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF ACCURACY, RELIABILITY, AVAILABILITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, SECURITY, DATA PRESERVATION, AND UNINTERRUPTED OR ERROR-FREE OPERATION. LOCALSPOTTER DOES NOT WARRANT OR ENDORSE ANY BUSINESS, USER, OFFER, REVIEW, CONTENT, PRODUCT, OR SERVICE.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOCAL SPOTTER LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, SERVICE PROVIDERS, AND AFFILIATES (COLLECTIVELY, THE "LOCALSPOTTER PARTIES") WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR RELIANCE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, REPUTATIONAL HARM, MISSED OFFERS, THIRD-PARTY CONDUCT, OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, REGARDLESS OF THE LEGAL THEORY AND EVEN IF ADVISED OF THE POSSIBILITY OF THOSE DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE LOCALSPOTTER PARTIES ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, UNDER ALL LEGAL THEORIES, WILL NOT EXCEED THE AMOUNT, IF ANY, YOU PAID LOCALSPOTTER FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS BEFORE THE FIRST EVENT GIVING RISE TO THE CLAIM. AN APPLICABLE OFFER SUMMARY OR SEPARATELY ACCEPTED PAID-SERVICE TERMS MAY STATE A DIFFERENT CAP FOR THAT PAID SERVICE.
THESE LIMITATIONS DO NOT LIMIT LIABILITY THAT CANNOT LAWFULLY BE LIMITED, INCLUDING LIABILITY FOR FRAUD, GROSS NEGLIGENCE, OR WILLFUL MISCONDUCT TO THE EXTENT APPLICABLE LAW PROHIBITS LIMITATION. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS OR LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
16. Indemnification
If you submit User Content or use the Service for business or commercial purposes, then, to the extent permitted by law, you will defend, indemnify, and hold harmless the LocalSpotter Parties and their successors and assigns from third-party claims, liabilities, damages, judgments, settlements, losses, and reasonable attorneys' fees and costs arising from your User Content, your business products or services, your material misuse of the Service, your material breach of these Terms, or your violation of law or another person's rights.
This obligation does not apply to the extent a claim results from LocalSpotter's fraud, gross negligence, or willful misconduct, or from content selected and created solely by LocalSpotter without your direction. LocalSpotter will provide reasonably prompt notice of an indemnified claim and may control the defense with counsel of its choice, subject to your reasonable cooperation. You may not settle an indemnified claim in a manner that admits wrongdoing by, imposes a nonmonetary obligation on, or creates continuing liability for a LocalSpotter Party without LocalSpotter's prior written consent, which will not be unreasonably withheld.
17. Changes to These Terms and Electronic Notices
LocalSpotter may make nonmaterial, clarifying, or administrative changes by publishing an updated version. For a material change, LocalSpotter will provide notice when required by law or when reasonably appropriate and may require affirmative acceptance before continued use of a materially affected feature. A change may take effect immediately when reasonably necessary for legal, security, fraud-prevention, abuse-prevention, or urgent operational reasons.
Changes apply prospectively and do not create retroactive payment obligations or alter an accepted Pilot price, conversion term, or paid period.
LocalSpotter may provide operational and legal notices electronically through the Service or to the email address associated with your account. You are responsible for keeping that email address reasonably current.
18. Governing Law and Disputes
Before filing a formal claim, you and LocalSpotter will make a good-faith effort to resolve the dispute informally. A written dispute notice should be sent to [email protected] and should include the sender's name and contact information, the account or Business involved, a reasonable description of the dispute, and the requested resolution. The parties will allow at least thirty days after receipt of the notice for informal resolution, unless immediate relief is reasonably necessary to prevent irreparable harm or preserve a legal deadline.
These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws rules. Except for claims properly brought in small-claims court or where applicable law requires another forum, any dispute arising out of or relating to the Service or these Terms must be brought exclusively in the state courts located in DuPage County, Illinois, or, if federal subject-matter jurisdiction exists, in the United States District Court for the Northern District of Illinois, Eastern Division. Each party consents to the personal jurisdiction and venue of those courts.
Nothing in this section deprives a consumer of any nonwaivable right, protection, or forum available under applicable law.
19. General Provisions
If a provision is found unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. Failure to enforce a provision is not a waiver. You may not assign your account or these Terms without LocalSpotter's written consent. LocalSpotter may assign these Terms in connection with a merger, financing, reorganization, sale, or transfer of all or part of the Service or business.
These Terms, the applicable Offer Summary, and additional terms expressly accepted for a feature form the entire agreement concerning that feature and supersede prior discussions on the same subject. These Terms do not create rights for any third-party beneficiary. Provisions that by their nature should survive termination, including content licenses, intellectual-property rights, disclaimers, liability limitations, indemnification, dispute provisions, payment obligations, and record-retention rights, will survive.
